1. Agreement to Terms
Welcome to Reframe ("we," "us," or "our"). Reframe is operated by Xinjie Li (operating as "Reframe"), residing in Canada, with the contact address at #B 31 St. Calire Ave, Nepean, ON, K2G 2A1. By accessing or using our website, services, and software applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
2. Description of Service
Reframe is an AI-powered design platform that enables users to upload an existing visual, generate candidate images in supported aspect ratios, and apply AI-assisted edits to marked areas. Generated results may alter text, logos, products, or other visual details and must be reviewed by the user before use. The Service utilizes credit allocations to measure and limit generation and editing operations.
3. Accounts and Authentication
To access the Service, you must register for an account using our authentication system, powered by Clerk. By registering, you represent that you are at least 13 years of age (or the minimum legal age in your jurisdiction) and possess the legal capacity to agree to these Terms. If you are under 18 years of age, you represent that you have obtained parental or guardian consent to use the Service.
You agree to provide accurate, current, and complete information during registration and to maintain the security of your account credentials. You are responsible for all activity that occurs under your account.
4. Billing, Payments, and Merchant of Record
We offer paid monthly subscription plans that include credits for supported actions in the Service. Payments are processed securely via our reseller Paddle.
By purchasing a subscription, you agree to Paddle's Terms of Use and authorize Paddle to charge your chosen payment method for recurring monthly subscription fees.
5. Subscriptions, Cancellations, and Refunds
Subscription Renewal and Cancellation
Monthly subscriptions automatically renew at the end of each monthly billing cycle unless canceled. You can cancel your subscription at any time via the billing portal accessible from your account settings. Cancellation will take effect at the end of the current billing cycle. You will continue to have access to the Service and any remaining credits associated with your active subscription until the end of that billing cycle. No prorated refunds are provided for cancellations made mid-cycle.
Changing Your Plan
You may upgrade or downgrade your subscription plan at any time from the billing portal. Upgrades take effect immediately: we charge a prorated amount for the remainder of the current billing cycle and top up your credit balance to match the new plan's monthly allowance. Downgrades also take effect immediately, but with no charge, refund, or credit clawback for the current cycle; your next billing cycle will bill and allocate credits at the lower plan's rate.
Credit Expiration and Rollover
Monthly subscription credits allocated to your account do not roll over to the next billing cycle and will expire at the end of each cycle.
Refund Policy
Refunds for monthly subscription plans are governed by the following terms:
- Within 14 Days of Purchase: If you have not consumed any credits from the purchased subscription, you are eligible for a full refund. If any credits have been consumed, no refund will be provided.
- After 14 Days of Purchase: No refunds are available.

6. User Content and AI Outputs
Your Content and Processing License
You retain ownership of all images, designs, texts, and other materials you upload to the Service ("User Content"). You represent and warrant that you own or have the necessary rights to use and upload the User Content.
By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to host, store, use, display, reproduce, modify, and distribute your User Content solely for the purpose of operating, developing, and providing the Service to you (including running AI models for image generation and layout adaptation).
AI-Generated Outputs
The Service generates adapted layouts and visual assets based on your input ("Outputs"). Subject to your compliance with these Terms, we transfer all right, title, and interest in and to the Outputs to you. We do not make any representation or warranty regarding the copyrightability or legal protectability of the Outputs.
Similarity of Outputs
Due to the nature of machine learning and generative artificial intelligence, Outputs generated for different users may be similar or identical. You acknowledge and agree that you do not warrant that your Outputs will be unique, and you have no exclusive rights over Outputs generated for other users.
7. Restrictions on Use
You agree not to use the Service to:
- Upload User Content that violates third-party intellectual property or privacy rights.
- Upload or generate any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethically, or otherwise objectionable.
- Use the Service to generate misleading, deceptive, or fraudulent materials (including unauthorized deepfakes or impersonation of individuals without consent).
- Attempt to reverse-engineer, decompile, or extract the source code or underlying AI models of the Service.
- Engage in scraping, automated querying, or bulk downloads of generated content except as explicitly authorized.
- Exhaust resources, bypass system credit limits, or disrupt the operation of the Service.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR INTENDED USE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Ottawa, Ontario, Canada.
